Terms and Conditions
Support Covered—This agreement is for 24 hour 7 day a week telephone support on the above agreed product, this only includes products manufactured by or supplied by Miwa Lock Co., Ltd. Miwa agrees to provide technical support, via the telephone, 24 hours a day 7 days a week for the entire period of this agreement. All calls will be returned, if necessary, within 120 minutes during business hours (8am –5pm central time) and within 180 minutes at all other times.
Visits to the Property—If it is deemed necessary for one of our technicians to visit the property to rectify the problem this is not covered under this agreement. All site visits would be charged at our standard rate.
Parts repairs—This agreement covers telephone technical support only. Any parts and or labor for repairs would be charged at our standard rates. If the Miwa product is still under warranty then standard warranty terms apply.
Charges—Customer shall pay Miwa Lock Co., Ltd. annually for the Technical Support Agreement described herein in accordance with the fees and charges set forth on attached Technical Support Agreement. Customer shall be responsible for any charges for service not included within the scope of this agreement, including charges for Miwa Lock Co., Ltd. personnel performing training and or support work at customers site.
Limitation of Liability—Miwa Lock Co., Ltd. shall not be liable for any lost data, lost profits or indirect, special, incidental or consequential damages, even if Miwa Lock Co., Ltd.. has been advised of the possibility of such losses or damages.
General—This agreement, which is not assignable without written consent of Miwa Lock Co., Ltd. Home Office, constitutes the entire Agreement between the Customer and Miwa Lock Co., Ltd. with respect to its subject matter irrespective of inconsistent or additional terms and conditions appearing on any order form release, or other communication submitted by the customer. This agreement supersedes any previous agreements, proposals and all other communications or representations, whether oral or written, made between the parties relating to the subject matter of this Agreement. Modifications to the Agreement shall be effective only in writing and signed by the parties and accepted by Miwa Lock Co., Ltd. at its home office. The Agreement shall be governed by the laws of the state of Illinois.
Good Standing— If Customer fails to pay Miwa Lock Co., Ltd. for any goods or services when due, whether covered by this Agreement or by separate agreement, purchase order or invoice, and Customer’s account with Miwa Lock Co., Ltd., at its sole discretion, may refuse to provide Technical Support Services to Customer until Customer’s accounts are fully paid. The period of time while Customer’s account is overdue and Miwa Lock Co., Ltd. is not providing Technical Support to Customer will not extend the one year period of Technical Support.
Termination— this agreement may neither be changed nor terminated orally. Agreement is valid for one (1) year. Agreement will automatically renew on Agreement annual anniversary date and be automatically billed at the prevailing rate at the time of the renewal date.
